IT carve-out at a machine manufacturer

DATAGROUP took over the IT due diligence for a machine manufacturer during the acquisition process as well as the carve-out of the IT from the former parent company. Since the end of the transition, DATAGROUP has also taken over the IT operations for the company.

The project

IT due diligence in the M&A process

DATAGROUP advises financial investors on the acquisition of companies in the IT sector on topics such as IT due diligence and carve-out processes and challenges. A financial investor wanted to acquire a machine manufacturer from the former American parent company and turned to DATAGROUP. DATAGROUP carried out the IT due diligence at the company and analyzed the one-time costs for the carve-out of the IT infrastructure from the US group. Subsequently, DATAGROUP prepared an initial indication of the Future Mode of Operations (FMO), i.e. how services can be designed in the future, which systems can be taken over from the group structure and what has to be changed on the IT side if the company has a new size and thus different IT requirements after the carve-out. This allowed the investor to define the most important points of the carve-out in the purchase agreement.

Transition

A suitable IT service provider was sought for the transition and subsequent operation via a tender. DATAGROUP was also able to convince here. Thanks to the company's extensive experience, the transition phase was completed in just 2.5 months. As a manufacturing company, it was crucial to prevent a loss of production. The transition phase was scheduled for the winter, when production is traditionally at a standstill. During this time, the employees had the opportunity to test the production computers in advance. This allowed production to restart without any downtime.

Operation

Since the transition phase, DATAGROUP has taken over the machine manufacturer's IT operations, including the Service Desk, Office365, Client Service, Data Center Services and Network Services. A hybrid model was chosen for the operating model, i.e. a mixture of Microsoft O365 functionalities and the DATAGROUP CORBOX Private Cloud. This provides the company with a secure, future-oriented and flexible foundation that offers the necessary performance while also taking the cost aspect into account and utilizing the broad functionalities of the cloud portfolio. At the same time, sensitive applications are made available in DATAGROUP's private cloud.

Thanks to the managed services, the customer now has efficient, standardized and high-quality IT that is ideally equipped for further changes to the company.
